Legal Terms of Service

Terms of Service

The agreement between your organization and us: what the service does, what you are responsible for, and how liability is shared.

Effective: September 20, 2026 Last updated: September 20, 2026 Applies to: BranFillable, operated by Brancodelogic LLC

These Terms of Service (the “Terms”) are a binding agreement between Brancodelogic LLC (“BranFillable”, “we”, “us”) and the organization that creates an account or is issued one by us (“Customer”, “you”). By creating an account, accepting an invitation, paying an invoice or using the service, you accept these Terms on behalf of that organization and warrant that you are authorized to bind it.

Read sections 11, 14, 15 and 18 carefully

They disclaim warranties, cap what we can owe you, require you to indemnify us for how you use the service, and — unless you opt out within 30 days — send disputes to individual arbitration and waive class actions and jury trial.

1. Definitions

Service
The BranFillable web application, its APIs and anything we make available with it: uploading a PDF, mapping its fields, generating a web form from it, sending a link, collecting a response and an electronic signature, producing a completed PDF, and — where enabled — requesting files into storage you control.
Customer Content
Everything you or your users put into the Service or direct it to produce: PDF templates, field maps, form schemas, lists, translations, contact records and generated documents.
Recipient
A person you send a link to so they can complete and sign a document. A Recipient has no account with us and is not a party to these Terms.
Recipient Data
Personal data a Recipient submits through a link you sent, and the evidence captured alongside it (timestamp, IP address, user agent, signature image).
Output
Anything an automated or AI-assisted feature proposes: a suggested field category, a generated form schema, a detected exam answer, a machine translation.
Connected Storage
A storage account you own — such as your organization's Google Drive, Microsoft OneDrive or your own S3 bucket — that you authorize the Service to write to on your behalf.

2. What the Service is, and what it is not

The Service is a document automation tool. You supply the document; the Service turns it into a form, delivers it, collects an answer and puts the answer back into your document.

We do not supply the legal content of your documents

We do not draft, review, select or approve any PDF you upload, any question it asks, any consent it requests or any clause it contains. We are not a law firm, and nothing in the Service — including any Output, template, suggestion, default setting or piece of documentation — is legal advice or a substitute for advice from a licensed attorney in your jurisdiction.

We are also not a consumer reporting agency, a background screening provider, an employer of record, a payroll provider or a HIPAA business associate. The Service does not evaluate a Recipient, score them, make or recommend a decision about them, or transmit their data to anyone for that purpose.

3. Accounts, roles and your users

Each Customer account has exactly one administrator — the person responsible for the subscription — and any number of staff users that administrator invites. You are responsible for every action taken under your account, including by staff you have invited and by anyone using their credentials, whether or not you authorized it.

  • Keep credentials confidential and tell us at security@branfillable.com as soon as you suspect unauthorized access.
  • Remove a user who leaves your organization. Removal deactivates them and ends their sessions; it does not delete the records they created, because those records are your business records.
  • Account seats are tied to your plan. Inviting past your seat allowance is refused, not billed silently.

4. Your responsibilities — the ones that matter most

You decide what to ask a Recipient and why. That makes the following yours, not ours, in full:

  • The lawfulness of your document. You warrant that you own or are licensed to use every PDF you upload, and that its content, its questions and its consents comply with every law that applies to you.
  • The lawful basis for collecting Recipient Data, and the notices, consents and disclosures a Recipient is entitled to before they give it.
  • Employment and screening law, where you use the Service for hiring or onboarding — including the Fair Credit Reporting Act and its standalone disclosure requirements, “ban the box” and fair-chance ordinances, IRCA and Form I-9 document rules (including the rule that if you retain copies you must do so for everyone alike), the ADA's requirement that medical information be kept separate and confidential, EEOC guidance, and worker classification.
  • Record retention. You set retention periods and you are responsible for whether they meet your obligations. We do not determine how long your records must be kept.
  • Responding to a Recipient. When a Recipient asks to see, correct or delete their data, that request is yours to answer; we assist you under the Data Processing Addendum and do not answer it for you.
  • Accuracy of what you send. You are responsible for sending a link to the right person at the right address.

You will not upload protected health information subject to HIPAA. We do not offer a Business Associate Agreement and the Service is not configured to be a covered entity's business associate.

5. Acceptable use

Your use of the Service is subject to the Acceptable Use Policy, which is part of these Terms. We may suspend an account or a feature immediately, without notice, where continued use presents a risk to the Service, to another customer, to a Recipient or to us — and we will tell you why as soon as we reasonably can.

6. AI-assisted features

Several features use a third-party large language model to propose Output: categorizing the fields of an uploaded PDF, generating a web form from those fields, detecting exam questions and answers, and translating form text into Spanish.

  • Output is a suggestion, not a result. It can be wrong, incomplete or inconsistent. You are responsible for reviewing and correcting it before you send a document to a Recipient, and the Service gives you the screens to do so.
  • What is sent. AI features send the structural text of a document — AcroForm field names, labels, option text and exam question text. They do not send the answers a Recipient submits, the signature image, or the contents of any file a Recipient uploads. The current provider is listed on the sub-processors page.
  • Allowances. Each plan includes a number of AI runs per calendar month, and the Service enforces per-account and platform-wide spending limits. Runs may be refused or paused when a limit is reached; that is a safeguard, not a defect.
  • We make no warranty that Output is accurate, complete or fit for any legal or regulatory purpose, and we are not liable for a decision you make on the strength of it.

7. Electronic signatures

The Service captures a Recipient's intent to sign, their consent to transact electronically, the signature image and an audit record of when and from where it was made, and embeds the signature in the resulting PDF. The disclosure shown to a Recipient is published at Electronic Records and Signatures.

We provide the mechanism. Whether a particular signed document is valid, enforceable or admissible depends on the document, the parties and the law of the place it is used — all of which are yours. You are responsible for deciding whether an electronic signature is appropriate for a given document, and for any document type that your law requires to be signed on paper or before a notary.

8. Connected Storage and file requests

Where the Service lets you request files from a Recipient, those files are written to Connected Storage that you own and connect. That arrangement carries specific consequences, and you accept them by connecting an account:

  • The files are yours and they are held by your provider. Uploaded file content is transferred to your storage account. We retain metadata about the request — what was asked for, its status, the identifier your provider returned, timestamps, and who opened it from within the Service — and we do not retain the file content.
  • Your provider's terms govern the files. Availability, durability, backup, encryption at rest, regional location and the provider's own access are its responsibility and yours, not ours. We are not liable for loss, corruption or unavailability of anything held in your storage account.
  • Authorization you grant, and can revoke. You authorize us to create and manage files that the Service itself creates in your account, using the narrowest permission scope the provider offers. You may revoke that authorization at any time; when you do, features that depend on it stop working, and we lose the ability to delete files on your behalf.
  • Deletion runs through your provider. Retention and deletion of stored files are carried out by calling your provider's API. If your provider refuses, is unavailable, or the authorization has been revoked, the deletion does not happen, and it is your responsibility to complete it.
  • No file requests without storage. If no storage account is connected, file requests are unavailable. We will not accept file content into our own infrastructure as a substitute.

9. Plans, fees and billing

  • Subscriptions. Plans are billed monthly or annually in advance through our payment processor and renew automatically until cancelled. Card details are collected and stored by the processor; we never hold a full card number.
  • Limits. Each plan carries limits on contacts per month, documents, seats and AI runs. Reaching a limit blocks the action that would exceed it; it does not create an automatic charge. Add-ons increase a limit and are billed as recurring line items or one-off packs.
  • Changes. An upgrade takes effect immediately and is charged pro rata at the amount shown to you before you confirm. A downgrade or the removal of an add-on takes effect at the end of the current billing period — we do not reduce a limit inside a period you have paid for.
  • Non-payment. If an invoice fails or a hand-sold account is unpaid, we may place the account in a read-only state: every page remains readable and exportable, and write operations are refused until payment is made. Continued non-payment may end the subscription.
  • No refunds. Fees are non-refundable except where required by law or expressly stated in a signed order. Cancelling stops the next renewal; it does not refund the current period.
  • Taxes. Fees exclude taxes. You are responsible for any sales, use, VAT, GST or withholding tax, other than taxes on our income.
  • Price changes take effect at your next renewal, with at least 30 days' notice.
  • Trials, where offered, convert to a paid subscription unless cancelled before they end. Trials are one per organization; creating additional accounts to extend one is a breach of these Terms.

10. Intellectual property

Ours. The Service, its software, design, documentation and everything we create to operate it remain ours. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription, and nothing more. You may not copy, modify, reverse engineer, resell, white-label or create a derivative of the Service, or use it to build a competing product.

Yours. Customer Content remains yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process it strictly to provide and support the Service and to comply with law. We do not use Customer Content or Recipient Data to train machine learning models, and we do not sell it.

Feedback. If you send us a suggestion, we may use it without restriction or obligation to you.

11. Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by comparable obligations. This does not cover information that is public through no fault of the recipient, independently developed, or lawfully received from a third party. A party compelled to disclose by law will, where legally permitted, give the other prior notice.

12. Term, suspension and termination

  • These Terms run while you have an account. You may cancel at any time from the billing screen; cancellation takes effect at the end of the paid period.
  • We may suspend or terminate for material breach that is not cured within 15 days of notice, for non-payment, or immediately for conduct described in the Acceptable Use Policy.
  • After termination, your data remains retrievable for 30 days so you can export it. After that we delete or irreversibly anonymize it, except where we are required to keep it by law or must retain it as evidence of a completed transaction — which is described in the Privacy Policy.
  • Sections 4, 10, 11, 13, 14, 15, 18 and any accrued payment obligation survive termination.

13. Warranties and disclaimer

We warrant that we will provide the Service with reasonable skill and care, and that we will not materially reduce its security during a paid term. Beyond that:

The service and all output are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the service will be uninterrupted, timely, secure or error-free. We do not warrant that any document produced by the service is legally sufficient, enforceable, compliant with any regulation, or accepted by any authority. No uptime commitment applies unless it is stated in a written order signed by us.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, loss of business, or loss or corruption of data, however caused and under any theory of liability, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the service or these terms will not exceed the fees you actually paid us in the twelve months immediately before the event giving rise to the claim. Where no fees were paid, our total liability will not exceed one hundred United States dollars (US$100).

These limits do not apply to your payment obligations, to either party's liability for fraud, wilful misconduct or death or personal injury caused by negligence, or to any liability that cannot be limited under applicable law. If your jurisdiction does not allow some of these exclusions, they apply to the fullest extent it does allow.

They are the deal. The fees for the Service are set on the assumption that liability is limited this way; without these limits the Service would be priced differently or not offered.

15. Indemnification

You will defend, indemnify and hold harmless Brancodelogic LLC, its officers, employees and contractors against any third-party claim, and any resulting loss, damage, penalty or reasonable legal cost, arising from:

  • Customer Content, including the content of any PDF you upload and any question or consent in it;
  • your collection, use, retention, disclosure or deletion of Recipient Data;
  • a claim by a Recipient or by a regulator relating to your hiring, screening, employment, classification or record-keeping practices;
  • your breach of these Terms, the Acceptable Use Policy or any law applicable to you;
  • your use of Connected Storage, including anything your provider does or fails to do.

We will defend you against a third-party claim that the Service, used as permitted, infringes a US patent, copyright or trademark, and pay damages finally awarded — provided you notify us promptly, give us control of the defence and reasonably cooperate. We may modify the Service, obtain a licence, or terminate the affected part and refund the unused prepaid fees. This does not cover a claim arising from Customer Content, from combining the Service with something we did not supply, or from use in breach of these Terms.

16. Third-party services

The Service integrates with third parties — a payment processor, an email provider, an AI provider, and any Connected Storage you choose. Their services are governed by their own terms and privacy policies. We are not responsible for their acts, omissions, availability or changes, and their failure is not a breach of these Terms by us.

17. Changes to these Terms

We may amend these Terms. For a material change we will give at least 30 days' notice by email to the account administrator or by a notice inside the Service, and the change takes effect at the start of your next billing period. Continuing to use the Service after that is acceptance. If you do not accept a material change, your remedy is to cancel before it takes effect.

18. Governing law, arbitration and class waiver

These Terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. The Service is provided from the United States; if you use it from elsewhere, you do so on your own initiative and are responsible for complying with your local law.

Any dispute arising out of or relating to these terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association under its commercial rules, seated in Florida, before a single arbitrator. Each party waives any right to a jury trial and to participate in a class, collective or representative action. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Either party may bring an individual claim in small-claims court, and either may seek injunctive relief in the state and federal courts located in Miami-Dade County, Florida to protect intellectual property or confidential information. You may opt out of arbitration by emailing legal@branfillable.com within 30 days of first accepting these Terms, stating your organization's name and that you opt out; if you do, disputes go to the state and federal courts located in Miami-Dade County, Florida, to whose exclusive jurisdiction both parties submit. Where this section is unenforceable under mandatory law that applies to you — including consumer protection law in the European Union and the United Kingdom — it does not apply to you, and the rest of this section stands.

19. General

  • Entire agreement. These Terms, the Acceptable Use Policy, the Privacy Policy, the Data Processing Addendum and any signed order are the whole agreement and replace anything said before. In a conflict, a signed order prevails, then the Data Processing Addendum for data protection matters, then these Terms.
  • Assignment. You may not assign these Terms without our written consent, except to a successor of your business that is not our competitor. We may assign on notice in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for a failure caused by something outside its reasonable control, other than a payment obligation.
  • Severability and waiver. If a provision is unenforceable it is narrowed to the minimum extent necessary and the rest stands. Not enforcing a right is not a waiver of it.
  • No third-party beneficiaries. A Recipient is not a party to these Terms and gains no rights under them.
  • Notices to us must be sent to legal@branfillable.com; notices to you are sent to the account administrator's email address.
  • Export and sanctions. You warrant that you are not located in, and will not use the Service on behalf of anyone in, a country or on a list subject to United States sanctions or export restrictions.
  • Publicity. We will not use your name or logo as a reference without your written permission.
